Mandate

The Canada Foundation for Sustainable Development Technology (SDTC) was established by the Government of Canada in 2001 and commenced operation in November of that year. SDTC’s mission is to act as the primary catalyst in building a sustainable development technology infrastructure in Canada. The Foundation reports to Parliament through the Minister of Innovation, Science and Industry. SDTC funds groundbreaking technologies, works closely with an ever-growing network of stakeholders and partners to build the capacity of Canadian clean-technology entrepreneurs, helping them form strategic relationships, formalize their business plans, and build a critical mass of sustainable development capability in Canada.

Appointment Provisions

Canada Foundation for Sustainable Development Technology Act

The board consists of:
  • The Chairperson of the board appointed by the Governor in Council on the recommendation of the Minister;
  • six persons appointed by the Governor in Council on the recommendation of the Minister; and
  • eight persons appointed by the members.
The Chairperson and the directors shall be appointed to hold office during good behaviour for terms not exceeding five years. The Chairperson and any director appointed may be removed for cause by the Governor in Council.

Except where they cease to be directors, directors shall continue to hold office until their successors are appointed.

A director is eligible to be reappointed for one or more terms not exceeding five years each.

A person appointed to fill a vacancy in the office of a director who has ceased to hold office before the expiry of the director’s term of office shall be appointed to hold office for the unexpired portion of that term.

A person is not eligible to be appointed as a director if the person:
  • is a member of the Senate, the House of Commons or the legislature of a province;
  • is an employee or agent of Her Majesty in right of Canada or in right of a province;
  • does not ordinarily reside in Canada; or
  • is disqualified under subsection 105(1) of the Canada Business Corporation Act.
A director ceases to be a director when the director:
  • dies;
  • resigns;
  • is appointed to the Senate;
  • is elected to the House of Commons or to the legislature of a province;
  • becomes an employee or agent of Her Majesty in right of Canada or in right of a province;
  • ceases to be ordinarily resident in Canada;
  • becomes disqualified under subsection 105(1) of the Canada Business Corporation Act;
  • is removed from office for cause by the Governor in Council.
The appointment of the directors shall be made having regard to the following considerations:
  • the need to ensure, as far as possible, that at all times the board will be representative of:
  • persons engaged in the development and demonstration of technologies to promote sustainable development, including technologies to address issues related to climate change and the quality of air, water and soil;
  • the business community; and
  • not-for-profit corporations;
  • the importance of having a board that is representative of various regions of Canada and includes men and women who are able to contribute to the achievement of the objects and purposes of the Foundation; and
  • the need for a board that has sufficient knowledge of technologies that promote sustainable development.

Eligibility/Conflicts

A person is not eligible to be appointed as a director if the person: is a member of the Senate, the House of Commons or the legislature of a province; is an employee or agent of Her Majesty in right of Canada or in right of a province; does not ordinarily reside in Canada; or is disqualified under subsection 105(1) of the Canada Business Corporations Act. A director ceases to be a director when the director: dies; resigns; is appointed to the Senate; is elected to the House of Commons or to the legislature of a province; becomes an employee or agent of Her Majesty in right of Canada or in right of a province; ceases to be ordinarily resident in Canada; becomes disqualified under subsection 105(1) of the Canada Business Corporations Act; or is removed from office.
