Mandate

The Canadian Tourism Commission (CTC) is a Crown corporation created by Parliament and wholly owned by the Government of Canada. It reports to Parliament through the Minister of Industry. CTC is Canada’s national tourism marketing organization, leading the Canadian tourism industry in marketing Canada as a premier four-season tourism destination. The Commission supports the Canadian economy in generating tourism export revenues. The CTC’s legislated mandate is to sustain a vibrant and profitable Canadian tourism industry; market Canada as a desirable tourism destination; support a cooperative relationship between the private sector and the governments of Canada, the provinces and the territories with respect to Canadian tourism; and provide information about Canadian tourism to the private sector and to the governments of Canada, the provinces and the territories. Through collaboration and partnerships with the private sector, as well as with the governments of Canada, the provinces and territories, the CTC works with the tourism sector to maintain its competitiveness and reposition Canada as a destination where travellers can create extra-ordinary personal experiences.

Appointment Provisions

Canadian Tourism Commission Act

The Board consists of not more than 12 directors, including a Chairperson and a President.

The President shall be appointed by the Governor in Council to hold office during pleasure on a full-time basis for a term of not more than five years.

The Chairperson shall be appointed by the Governor in Council to hold office during pleasure on a part-time basis for a term of not more than five years.

Up to nine directors shall be appointed by the Minister, with the approval of the Governor in Council. The Board shall establish a committee that shall provide advice to the Minister on the appointment of the nine directors.

The directors shall be appointed to hold office during pleasure on a part-time basis for a term of not exceeding four years.

The Deputy Minister of Industry is, ex officio, a director.

A director is eligible to be reappointed to the Board in the same or another capacity.

If a director is not appointed to take office on the expiration of the term of an incumbent director, other than an officer-director, the incumbent director continues in office until a successor is appointed.

If the Chairperson is absent or incapacitated or if the office of Chairperson is vacant, the Board may designate any director to exercise the powers and perform the duties and functions of the Chairperson during the absence, incapacity or vacancy, but no director may be so designated for a period exceeding ninety days without the approval of the Governor in Council.

The President is the Chief Executive Officer of the Commission and has supervision over and direction of the work of the Commission including the management of its internal affairs and the hiring and termination of its staff.

If the President is absent or incapacitated or if the office of President is vacant, the Board may designate any person to exercise the powers and perform the duties and functions of the President during the absence, incapacity or vacancy, but no person may be so designated for a period exceeding ninety days without the approval of the Governor in Council.

Consultation

The Financial Administration Act requires that before an officer-director of a parent Crown corporation is appointed, the Minister shall consult the Board of Directors of the Corporation with respect to the appointment.

Auditor

The auditor of a Crown Corporation shall be appointed annually by the Governor in Council, after the appropriate Minister has consulted the Board of Directors of the corporation, and may be removed at any time by the Governor in Council, after the appropriate Minister has consulted the Board.

The Auditor General of Canada shall be appointed by the Governor in Council as the auditor, or a joint auditor, of each Crown Corporation, unless the Auditor General waives the requirement of being so appointed.

An auditor of a Crown Corporation is eligible for reappointment on the expiration of the auditor’s appointment.

If an auditor of a Crown Corporation is not appointed to take office on the expiration of the appointment of an incumbent auditor, the incumbent auditor continues in office until a successor is appointed.

A person is disqualified from being appointed or re-appointed or continuing as an auditor of the corporation if that person is not independent of the corporation, any of its affiliates, or the directors or officers of the corporation or any of its affiliates. Expenses reimbursed in accordance with policies and procedures of the Corporation.
